Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Sedgewater View Inc. ("Sedgewater View," "we," "us," or "our"), governing your use of the Sedgewater View platform, website, and all associated services (collectively, the "Service"). By creating an account, accessing the Service, or clicking "I Agree," you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

The Service is available exclusively to individuals who meet all of the following criteria:

• You are at least 18 years of age. The Sedgewater View platform is intended for adults only, and we do not knowingly permit users under 18.
• You have a valid email address capable of receiving account communications.
• Your use of the Service does not violate any applicable laws in your jurisdiction.
• You have not been previously banned or removed from the Service for violations of these Terms.
• You are not located in a country or territory subject to sanctions that would prohibit your use of the Service.

By registering, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify eligibility and to suspend or terminate accounts where eligibility cannot be confirmed.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Specifically, you agree to:

• Provide accurate, current, and complete information when creating and maintaining your account.
• Keep your password secure and not share it with any third party.
• Notify us immediately at hello@sedgewaterview.com if you suspect any unauthorized use of your account or any security breach.
• Not create more than one account per person without our prior written permission.
• Not allow any other person to use your account.

We are not liable for any loss or damage arising from your failure to comply with these obligations.

4. Permitted Uses

Subject to these Terms and your subscription tier, you are permitted to:

• Access and interact with AI characters available on the platform for personal, non-commercial use.
• Customize your profile, conversation preferences, and notification settings.
• Export your conversation history and personal data for your own records.
• Use the Service to explore AI companionship, creative conversation, language practice, and similar personal enrichment activities.
• Share general descriptions of your experience on social media, provided you do not reproduce substantial portions of conversation content without permission.

All other uses not expressly permitted are prohibited. The Service is provided for personal use only; commercial use requires a separate written agreement with Sedgewater View.

5. Prohibited Conduct

You agree not to engage in any of the following conduct on or in connection with the Service:

• Harassment and Abuse: Using the Service to harass, threaten, demean, or harm other users or Sedgewater View staff.
• Illegal Content: Creating, transmitting, or soliciting any content that is illegal under applicable law, including content involving minors.
• Impersonation: Impersonating any person, organization, or AI character, or falsely claiming any affiliation with Sedgewater View.
• Scraping and Automation: Using automated tools, bots, scrapers, or crawlers to access the Service or collect data without our express written permission.
• Reverse Engineering: Attempting to reverse engineer, decompile, or extract the source code of any part of the Service.
• Circumvention: Attempting to bypass or circumvent any security, access control, or usage limitation features of the Service.
• Manipulation: Attempting to manipulate AI characters into producing harmful, deceptive, or policy-violating content through adversarial prompting techniques.
• Spam: Using the Service to distribute unsolicited communications or to facilitate phishing or fraud.

6. AI Character Guidelines

All AI characters on the Sedgewater View platform are fictional companions created by Sedgewater View. By using the Service, you acknowledge and agree to the following:

• AI characters are not real people. They do not have emotions, consciousness, or a genuine existence outside the platform.
• AI characters are not substitutes for professional relationships, including medical, psychological, legal, or financial advice. If you are experiencing a mental health crisis, please contact a qualified professional.
• Information shared by AI characters is generated by artificial intelligence and may be inaccurate. Do not rely on it for important decisions.
• You may not attempt to use an AI character's likeness, name, or personality for commercial purposes or misrepresent your conversations as real interactions with a person.
• You may not attempt to extract personally identifiable information about real individuals through AI character interactions.

7. Intellectual Property

The Service, including all AI character designs, personalities, visual assets, software, interfaces, and content created by Sedgewater View, is owned by Sedgewater View Inc. and protected by copyright, trademark, and other intellectual property laws.

Sedgewater View grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms. This license does not include the right to reproduce, distribute, create derivative works from, or commercially exploit any part of the Service.

You retain ownership of any original content you independently create and share within the Service. By sharing content on the platform, you grant Sedgewater View a limited license to process, store, and display that content as necessary to provide the Service to you.

8. Subscription and Billing

The Service offers both free and paid subscription tiers. Paid subscriptions are billed on a monthly or annual basis, as selected at the time of purchase.

• All prices are displayed in Japanese Yen (JPY) unless otherwise indicated. Prices are inclusive of applicable consumption tax.
• Subscription fees are charged automatically at the start of each billing period using the payment method on file.
• You authorize us to charge your payment method for all fees incurred under your subscription.
• We reserve the right to change subscription prices with 30 days' advance notice. Price changes will not apply to your current billing period.
• Failed payments may result in temporary suspension of premium features. You will be notified and given a reasonable opportunity to update your payment information.

9. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period; you retain access to premium features until that date.

We offer a 7-day full refund for new subscribers on their first purchase, if requested within 7 days of the initial charge. After 7 days, subscription fees are generally non-refundable, except where:

• The Service was unavailable for more than 48 consecutive hours due to our fault during your billing period.
• You were charged due to a technical error on our part.
• Applicable consumer protection law in your jurisdiction requires a refund.

To request a refund, contact hello@sedgewaterview.com with your account email and the reason for your request. We review all refund requests within 5 business days.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEDGEWATER VIEW AI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy or completeness of any content generated by AI characters.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEDGEWATER VIEW AI INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the greater of (a) the total amount you paid to Sedgewater View in the 12 months preceding the claim, or (b) JPY 10,000.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be limited by law.

12. Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

The Osaka District Court shall have exclusive jurisdiction over any legal disputes arising from these Terms or your use of the Service, and both parties consent to personal jurisdiction in Osaka, Japan.

If you are a consumer resident in the European Union, you may also have the right to bring claims in your country of residence, and nothing in these Terms waives rights that cannot be waived under applicable consumer protection law.

13. Dispute Resolution

We encourage you to contact us first with any disputes or concerns. Most issues can be resolved quickly through direct communication with our support team at hello@sedgewaterview.com.

For disputes that cannot be resolved through direct negotiation, we encourage mediation through a mutually agreed mediator before pursuing formal legal proceedings. If mediation fails or is not agreed to, disputes shall be resolved through binding arbitration administered under the rules of the Japan Commercial Arbitration Association (JCAA), unless you are a consumer who prefers to use local courts as specified above.

Class action lawsuits and class-wide arbitrations are not permitted to the extent allowed by applicable law.

14. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will provide at least 30 days' advance notice by email and through a prominent notice on the platform before the new Terms take effect.

For minor, non-material changes, we may update the Terms with less notice. The "Last updated" date at the top of this document will always reflect the most recent revision.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with updated Terms, you should cancel your subscription and discontinue use before the effective date.
